1. Scope of Services

The Service Provider agrees to provide the following services to the Client:

• Predictive Score Package: This package includes ten (10) discreet predictive scores

  generated throughout the clinical year. The scores are derived from the following

  instruments:

  • PACKRAT I

  • End of Rotation (EOR) Exams 1 – 7

  • PACKRAT II

  • End of Curriculum Exam

• Risk Status Indicator: Along with predictive scores, a risk status indicator will be provided to help identify at-risk students.

2. Development and Accuracy

• Dr. Scott Massey, PhD., PA-C, developed the predictive score system, which is grounded in fifteen years of research and analysis.

• The system has demonstrated an 80% accuracy rate in predicting students' PANCE scores.

3. Fees and Payment

• Total Fee: The fee for the Predictive Score Package is $4,999 per cohort for one year.

• Payment Terms: The total fee is payable in advance upon execution of this Agreement. This payment covers the entire term of the service for the specified cohort.

• No Refund Policy: Payments are non-refundable. This policy ensures the effective allocation of resources and maintains the high quality of service provided.

4. Data Integration and System Setup

• If data integration is not already in place, the client will coordinate with the Service Provider's technical team to establish it.

• The Client will upload the necessary scores into the SecureTrack system.

• The Service Provider will process the scores and provide the cohort’s predicted scores via encrypted email.

5. Intellectual Property Usage and Protection

• Ownership: All intellectual property, including but not limited to the predictive score system, methodologies, and associated tools developed by the Service Provider, remains the exclusive property of the Service Provider.

• Usage Rights: The Client is granted a non-exclusive, non-transferable license to use the predictive score system and associated data solely for the purposes outlined in this Agreement.

• Protection: The Client agrees to protect the Service Provider’s intellectual property and not disclose or distribute it to any third party without the Service Provider’s written consent. Unauthorized use or reproduction of the Service Provider’s intellectual property is strictly prohibited and will be subject to legal action.

6. Confidentiality

Both parties agree to maintain the confidentiality of the data and information exchanged in connection with this Agreement and to use such data only for the purposes outlined herein.

7. Liability

The Service Provider's liability for any claim arising out of this Agreement shall be limited to the amount of fees paid by the Client under this Agreement.

8. Term

• Term: This Agreement will commence on

and continue for one year unless otherwise agreed upon in writing by both parties.

9. Support and Maintenance

• The Service Provider will provide support and maintenance as needed to ensure the effective operation of the predictive score system. Edulytic Solutions, LLC provides support and maintenance services.

10. Feedback and Continuous Improvement

The Client agrees to provide feedback on the services, which the Service Provider will use to enhance and improve the predictive score system.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
